Strategic / Management Buy-In (MBI) candidates are offered the possibility to purchase the activities of a small independent Dutch food importer, offering a wide variety of food brands and product categories, to large and medium-sized Dutch retail parties, B2B and B2C supermarket organizations and patisseries. The Company does not sell to end consumers.
The product categories comprise, amongst other things, chocolate specialties, sweets, crisps, soups, fonds and preservers. The Company also offers different brands and product categories for seasonal sales. For example, the Company built up a solid market position in supplying Christmas hampers.
Relevant competitive advantages include experienced sales specialists with product knowledge as well as considerable industry experience. The well-known reputation of the Company is widely respected within the market which caused long-lasting relationships with most of its larger clients.
The registered office of the Company is in The Netherlands. The Company operates via one single operating entity (limited liability company or B.V. in accordance with Dutch Law). In 2019, the Company employs 3 people.
The Company demonstrates a solid financial position; the main assets merely include small positions in inventories and trade receivables. During the financial year 2018, the Company reported net revenue of approximately € 5.5 M (EBIT of approx. 11%).
The majority shareholder of the Company is a Dutch holding company and wishes to sell the activities of the Company via an assets/liabilities transaction. Temporary continuation of the management, after a possible transaction, is negotiable.
Reason for sale
The current entrepreneur has reached an age on which he/she wishes to sell the company.
The selling party wants to adjust in mutual agreement with the buying party what share exactly is being sold.
An Information Memorandum will only be provided after signing a non-disclosure agreement (NDA) by potential candidates after the approval of the majority shareholder.
